Due Meridian Terms of Service

These Terms will be reviewed by our legal counsel, and we may update them after that review.

Effective date: October 28, 2026

Last updated: October 28, 2026

These Terms of Service ("Terms") are an agreement between you and Echelon Capital Holdings, LLC, a Delaware limited liability company ("Echelon", "we", "us" or "our"), which operates the Due Meridian service at duemeridian.com and its related applications, emails and integrations (together, the "Service"). Due Meridian is a business of Echelon.

You accept these Terms by checking the box that links to them at checkout (or by another clear, affirmative step we present to you), and we keep a record of that acceptance. By then using the Service, you also agree to these Terms. If you use the Service on behalf of a business, you confirm that you have authority to bind that business, and "you" means that business.

1. Who the Service is for

1.1 The Service is a business tool for freelancers and small agencies to track invoices they have issued in the course of their business and to follow up on them. Your clients (the people or organizations your invoices are addressed to) may be businesses or individuals, as described in Section 7.2. You may use the Service only for your business purposes, not for your own personal, family or household purposes.

1.2 You must be at least 18 years old (or the age of majority where you live, if higher) and able to form a binding contract. The Service is offered only in the countries we list on our website, and may be used only by businesses located there. You are responsible for complying with the laws that apply to you and your clients, wherever you or they are located.

2. What the Service does (and does not do)

2.1 The Service lets you import invoice data (for example from a CSV file), see your receivables on a dashboard, record payments, promises to pay, disputes, pauses and due dates, export your invoices as a CSV file, and delete your account. When reminder sending is turned on for your account, it also emails reminders to your clients about invoices you issued (Section 7.5). Connections to accounting or invoicing platforms are planned.

2.2 Early-stage service. The Service is new. Features may be incomplete, change, or be withdrawn. Some features described on our website (for example, live connections to Stripe, QuickBooks Online, Xero and FreshBooks) are not yet available. We will describe the current status honestly on the website or in the app.

2.3 We are not a collection agency. Due Meridian does not buy, own, or collect debts; does not receive or hold your clients' payments; does not negotiate or settle on your behalf; and is not a party to any agreement between you and your clients. Reminder emails are sent in your name, about your own invoices, on your instructions.

2.3A Reminders are collection communications. A reminder asking a client to pay an invoice that is due or overdue is a communication made to collect a debt, even though it is polite, written by you and sent in your name. Debt-collection, consumer-protection, unfair-practices and similar laws in your country, state or province, and in your client's, may apply to it, and some apply to businesses that collect their own debts and to debts owed by businesses as well as by individuals. Section 7 explains your responsibilities. Nothing in these Terms or the Service tells you that any particular reminder, schedule or wording is lawful for your situation.

2.4 No guarantee of payment. We do not guarantee that any invoice will be paid, paid on time, or paid in full, or that using the Service will improve your collections. Any figures shown in the Service (for example, totals outstanding or overdue) are computed from the data you provide or connect and are only as accurate as that data.

2.5 No professional advice. Nothing in the Service is legal, tax, accounting or financial advice.

3. Your account and sign-in

3.1 You sign in with a link sent to your email address; there are no passwords. Each link works only once and expires after 15 minutes. Anyone who controls your email inbox can sign in to your account, so you are responsible for keeping your email account secure and for all activity under your account.

3.2 Tell us promptly at support@duemeridian.com if you believe your account has been accessed without permission.

4. Trial, subscription and billing

4.1 Plans and prices. The Service is offered on the plans and prices shown on our pricing page at duemeridian.com at the time you subscribe, plus any sales or similar taxes we are required to collect. At the date of these Terms the plans are: Starter US$89 per month (or US$960 per year) including 120 billable invoices a month; Studio US$225 per month (or US$2,430 per year) including 900 billable invoices a month; Agency US$525 per month (or US$5,670 per year) including 3,750 billable invoices a month; and Enterprise, priced by written agreement (from US$1,499 per month). Per-invoice figures shown on the website are approximate and rounded. Accounts that subscribed to the earlier US$29-per-month pilot plan keep that price for as long as that subscription stays active, unless we give notice under Section 4.6.

4.1A Billable invoices and usage. An invoice is a "billable invoice" for a calendar month if the Service sent at least one reminder email for it in that month. Each invoice counts once per month, however many reminders are sent for it. Invoices you import or track but for which no reminder is sent that month do not count. The included allowance applies per month on both monthly and yearly plans, and unused allowance does not carry over. We will notify you when your account reaches 80% and 100% of its monthly allowance.

4.1B Optional overage. Overage is off unless you turn it on. While it is off, reminder sending pauses for the rest of the month once you reach your plan's allowance. If you turn it on, you set a monthly limit, and each billable invoice above your allowance is charged at the overage rate for your plan (at the date of these Terms, US$0.75 on Starter, US$0.20 on Studio and US$0.15 on Agency), up to the limit you set; once that limit is reached, sending pauses for the rest of the month. Overage is billed in arrears, on or after the end of the month in which it was incurred.

4.1C Yearly billing. If you choose yearly billing, you pay for 12 months in advance at the yearly price, which is 10% less than 12 monthly payments. You can switch between monthly and yearly billing, or change plans, from Manage billing in your account; changes are prorated as shown before you confirm them.

4.2 Free trial. New subscriptions include a 30-day free trial. A payment card is required at checkout. Unless you cancel before the trial ends, billing starts automatically and your subscription converts to a paid subscription, your card is charged your plan's monthly or yearly price (plus any applicable tax) on the day the trial ends, and then at the start of each monthly or yearly billing period until you cancel. Before you subscribe, the checkout page asks you to tick a box agreeing to these Terms; next to the box we state the price for the plan and billing period you chose (plus any applicable tax), that the subscription renews automatically every month or year until you cancel, when your trial ends and billing starts, and how to cancel. After you sign up, we email you a confirmation that repeats the trial end date, the price, the fact that the subscription renews automatically, and how to cancel. We (through Stripe) also email you a reminder 7 days before your trial ends, with a link to cancel. If you cancel during the trial, you will not be charged.

4.3 Automatic renewal. Paid subscriptions renew automatically at the end of each monthly or yearly billing period at the then-current price for your plan. By subscribing, you authorize us (through our payment processor, Stripe) to charge your payment method for each renewal, and for any overage you have turned on, until you cancel.

4.4 Payment processing. You subscribe through a checkout page (Stripe Payment Link) hosted by Stripe, Inc., which processes payments. Your billing details stay with Stripe; we do not receive or store your full card number. Your use of Stripe's checkout is also subject to Stripe's terms and privacy policy.

4.5 Failed payments. If a payment fails, we may retry the charge and may suspend paid features until payment succeeds.

4.6 Price changes. We may change the price for future billing periods. We will email you at least 14 and no more than 30 days before a new price takes effect, with a link to cancel. The new price applies from your first renewal after that date. If you do not agree, you can cancel before it takes effect. If you are charged the new price and cancel within 14 days after that charge, we will refund that charge on a pro-rata basis for the unused part of the billing period.

5. Cancellation and refunds

5.1 How to cancel. You can cancel at any time, during or after the trial, online and without contacting us: click Manage billing in the app, which opens our secure billing portal hosted by Stripe, and choose Cancel subscription. You can also cancel by emailing support@duemeridian.com from the email address on your account; we process emailed requests within one business day. We confirm every cancellation by email.

5.2 Effect of cancellation. If you cancel during the trial, you will not be charged. If you cancel a paid subscription, it will not renew, and you keep access to paid features until the end of the billing period you have already paid for.

5.3 Refunds. The free trial is how you try the Service before paying. Once a charge is made, it is non-refundable, except as stated in Section 4.6 (price changes) and Section 10.2 (discontinuing the Service), or where the law requires a refund.

5.4 Cancelling your subscription does not delete your data. To delete your data, use "Delete my account" (Section 6.5).

6. Your data

6.1 You own your data. "Customer Data" means the information you upload, import, connect or enter into the Service, including your clients' names, email addresses and invoice details. As between you and us, you own Customer Data.

6.2 Our permission to use it. You grant us a limited license to host, copy, process, transmit and display Customer Data only as needed to provide, secure, support and improve the Service, to comply with law, and as described in our Privacy Policy. We do not sell Customer Data.

6.3 Accuracy. You are responsible for the accuracy of Customer Data, including invoice amounts, due dates, payment status and client email addresses. Reminders and dashboard figures depend on it.

6.4 Export. While your account is active you can export your invoices as a CSV file from the app.

6.5 Deleting your account. You can delete your account in the app. Deletion requires a recent sign-in and a typed confirmation, and removes your account, users, sessions, clients, invoices, invoice history, sign-in tokens and activity-log entries from our live database. It cannot be undone. We keep one minimal deletion record (random identifiers, record counts and the time; no email address, name or invoice number), and deleted data may remain in our database provider's rolling recovery history for up to 30 days, as described in the Privacy Policy.

6.6 Retention. We keep Customer Data while your account exists, until you delete your account, or until we delete it under Section 10 or our Privacy Policy. We do not delete accounts automatically because they are inactive. We may review inactive accounts internally and may contact the account owner about them. Customer Data is deleted when you delete your account in the app (Section 6.5). If we decide to delete all data in the Service (for example, because we are discontinuing it), we will email you at least 30 days in advance and give you a chance to export your data first, except where immediate deletion is required by law or is needed to respond to a serious security incident. See the Privacy Policy for details, including limited records we keep after deletion.

6.7 Data processing. When we process personal information about your clients on your behalf, we do so as your service provider or processor under the Data Processing Terms in Appendix A, which form part of these Terms.

6.8 De-identified and aggregated data; AI. We may create de-identified or aggregated data from Customer Data and use it to operate, analyze and improve the Service, including to develop and improve features that use artificial intelligence. De-identified or aggregated data cannot reasonably be linked to you, your business, your clients or any other individual, and we will not attempt to re-identify it. We will not use identifiable Customer Data to train artificial intelligence or machine-learning models unless we first give you advance notice and you opt in.

7. Your responsibilities and acceptable use

7.1 Lawful basis to contact your clients. You are solely responsible for making sure that you have the right to send, and to have us send on your behalf, every email about your invoices, and that each email complies with all applicable laws, including, where they apply, anti-spam and electronic-marketing laws (for example the U.S. CAN-SPAM Act), data-protection laws, debt-collection and consumer-protection laws, and any other laws of the country, state or province where you or your client is located. You confirm that each invoice you load into the Service is a genuine invoice that you (or your business) issued and are owed. Reminders sent through the Service must relate only to invoices you actually issued, must identify your business as the sender, and must not contain advertising or promotional content.

7.1A Rules for every reminder. Whether your client is a business or an individual, you must: (a) not use threats, harassment, abusive or profane language, or false, misleading or deceptive statements, including about the amount owed, the consequences of not paying, legal action you do not intend or are not entitled to take, or credit reporting; (b) stop reminders on an invoice promptly when your client asks you to stop or disputes it (until any dispute is resolved); (c) not contact anyone other than your client (or the contact your client designated for invoices) about the debt; (d) not add interest, fees or other charges unless your agreement with your client and the law allow them; and (e) not state or imply that Due Meridian, a collection agency, a law firm, a court, a government body or any other third party is involved in collecting the debt.

7.2 Invoices owed by individuals (consumer debts). You may record invoices owed by businesses or by individuals in the Service. An invoice owed by an individual for personal, family or household purposes is a "consumer debt", and a client who owes one is a "consumer client".

(a) Consumer reminders. When reminder sending is on for your account, the Service may send reminders to consumer clients on the same schedule and within the same limits that apply to business clients under Section 7.5: the same reminder schedule, no more than one reminder to a client in any 72-hour period, sending only between 8:00 and 21:00 in your client's local time zone, and the same monthly cap of 300 reminder emails per account. Exception: the Service does not send reminders to consumer clients located in California, and you must not use the Service to send them. You can still track those invoices on your dashboard and follow up with those clients yourself, outside the Service, at your own responsibility.

(b) Consumer setting and location. Each client record has a consumer setting and a location. You must turn the consumer setting on for every client who is an individual owing a consumer debt, record each client's state, province or country accurately, and keep both up to date. You must not mark a consumer client as a business, give a false or incomplete location, or otherwise work around this Section or any restriction we apply to consumer reminders.

(c) Safeguards for consumer reminders. For every reminder to a consumer client: (i) the reminder shows only your own business name as the sender display name and contains no Due Meridian branding or "via" line in its content, and client replies are forwarded to you (the technical sending address, reply address and email authentication records may still use a Due Meridian domain unless you verify your own sending domain); (ii) you must follow all the rules in Section 7.1A, including not stating or implying that any third party is involved in collecting the debt, honouring stop and dispute requests, and not using threats or adding interest, fees or other charges that were not agreed and are not allowed by law; and (iii) you represent and warrant that you comply with all debt-collection, consumer-protection and licensing laws that apply to you and to your reminders, and that you hold any licence or registration they require (for example, in the United States, where they apply, the Fair Debt Collection Practices Act and Regulation F, the California Rosenthal Fair Debt Collection Practices Act, and other state laws; and equivalent laws in other countries).

(d) Restrictions by location. We may restrict, pause or suspend reminders to consumer clients in any country, state, province or other jurisdiction, or for any account, at any time, with or without notice, including while we obtain legal advice. We may also stop any reminder we believe would breach this Section.

The Service includes features to help with these rules, such as a stop-reminders control, frequency caps, sending windows and automatic pausing on client replies. Using them does not make us responsible for your compliance. Section 13 (Indemnity) covers claims arising from your reminders and your collection of any debt.

7.3 You must not, and must not let anyone else: - use the Service to collect debts owed to anyone other than you, or to operate as a collection agency; - use a sender name, email address, domain or wording that states or suggests that a collection agency, law firm, Due Meridian or any other third party is collecting the debt, or add any fee, interest or charge that your client did not agree to; - use the Service to send text messages or make calls (the Service does not offer them); - send reminders about amounts that are not owed, are disputed and unresolved, have been paid, or include charges or late fees not agreed with your client; - send threatening, harassing, deceptive or misleading messages, or impersonate any person, court, government body or law firm; - use the Service for marketing or promotional email, or to email anyone who has asked you to stop; - upload data you do not have the right to use, or sensitive data the Service is not built for (for example, Social Security numbers, health information, or payment card numbers); - probe, scan or test the security of the Service, bypass rate limits or access controls, or access another customer's data; - reverse engineer, copy, resell or sublicense the Service, except as the law expressly allows; - use the Service in breach of the terms of any connected third-party service; or - use the Service for anything unlawful.

7.4 We may pause reminders (including all reminders for a client or invoice), suspend features, or suspend your account if we reasonably believe you are breaching this Section, if a client complains, or if emails bounce or are reported as spam at unusual rates. Where practical we will tell you why.

7.5 How reminders are sent. When reminder sending is on for your account: reminders for an invoice are scheduled for 3 days before its due date and 1, 7 and 14 days after it, after which follow-up is yours; no client receives more than one reminder in any 72-hour period; reminders are sent only between 8:00 and 21:00 (8 a.m. to 9 p.m.) in your client's local time zone (or your account's time zone if your client's is unknown); each account may send up to 300 reminder emails a month; and any reply from your client pauses reminders on that invoice and is forwarded to you. You must not work around these limits. We may change them with notice.

8. Third-party services and connections

8.1 The Service relies on third-party providers: Cloudflare for hosting, data storage and sending transactional email, including sign-in links and reminders (Cloudflare Email Service); Cloudflare Email Routing and Proton Mail (Proton AG) for receiving support email; and Stripe for subscription checkout and the billing portal. Connections to accounting or invoicing platforms such as Stripe, QuickBooks Online, Xero or FreshBooks are planned but not yet available. When one becomes available and you choose to connect it, your use of that platform is governed by its own terms (and our End-User License Agreement), and you authorize us to access the data that the connection's permissions allow, to provide the Service.

8.2 We do not control third-party services and are not responsible for their availability, accuracy, or changes. When connections are available, you will be able to disconnect at any time or revoke access from the third-party platform.

8.3 Intuit, QuickBooks, Xero, FreshBooks and Stripe are trademarks of their respective owners. They are not parties to these Terms and do not sponsor or endorse Due Meridian.

9. Intellectual property and feedback

9.1 We and our licensors own the Service, including its software, design, text and the Due Meridian name and logo. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes during your subscription.

9.2 If you send us suggestions or feedback, we may use them without obligation to you.

10. Suspension and termination

10.1 You may stop using the Service and cancel at any time (Section 5).

10.2 We may suspend or terminate your access if you materially breach these Terms, fail to pay, use the Service in a way that creates legal or security risk, or if we discontinue the Service. Where reasonably possible we will give notice and a chance to export your data first. If we discontinue the Service entirely we will give at least 30 days' notice and refund any prepaid fees for the period after termination.

10.3 Sections 2.3–2.5, 6.1, 6.7, 7, 9, 11–16, Appendix A (for as long as we hold Customer Data) and any accrued payment obligations survive termination.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", ESPECIALLY WHILE THE SERVICE IS NEW. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT REMINDERS WILL BE DELIVERED OR READ, THAT DATA FROM CONNECTED PLATFORMS WILL BE COMPLETE OR CURRENT, OR THAT ANY INVOICE WILL BE PAID.

12. Limitation of liability

12.1 TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER ECHELON NOR ITS AFFILIATES, MEMBERS, MANAGERS, EMPLOYEES OR SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, RECEIVABLES, GOODWILL OR DATA, OR FOR ANY UNPAID OR LATE-PAID INVOICE, EVEN IF ADVISED OF THE POSSIBILITY.

12.2 TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) US$100. THE LIMITS IN THIS SECTION 12 DO NOT APPLY TO LIABILITY FOR FRAUD, GROSS NEGLIGENCE OR WILFUL MISCONDUCT, OR TO ANY OTHER LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

12.3 Some jurisdictions do not allow certain exclusions or limits, so some of the above may not apply to you.

13. Indemnity

You will defend, indemnify and hold harmless Echelon and its affiliates, members, managers and employees from any third-party claim, loss, fine or expense (including reasonable legal fees) arising from Customer Data, emails sent on your instructions, your dealings with your clients, your collection of any debt (including any claim under a debt-collection or consumer-protection law), or your breach of these Terms or applicable law.

14. Changes to these Terms

We may update these Terms. If a change is material, we will give you at least 30 days' notice by email or in the app before it takes effect. Changes to Section 15 will not apply to any dispute you or we have already notified the other about. The "Last updated" date shows the latest version. If you keep using the Service after a change takes effect, you accept the updated Terms; if you do not agree, cancel before the change takes effect.

15. Governing law and disputes

15.1 These Terms are governed by the laws of the State of Delaware and, for Sections 15.3–15.6, the Federal Arbitration Act, without regard to conflict-of-laws rules.

15.2 Informal resolution first. Before filing a claim, each party agrees to try to resolve the dispute informally by sending the other a written description of the claim (to support@duemeridian.com for us, and to your account email for you) and allowing 30 days for a response.

15.3 Arbitration. Except for (a) claims that qualify for small-claims court and (b) claims to protect intellectual property or to stop unauthorized use of the Service, any dispute arising out of or relating to the Service or these Terms will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, before a single arbitrator. Hearings will be held remotely by video unless the arbitrator decides that an in-person hearing in Wilmington, Delaware is necessary, and its seat will be Wilmington, Delaware. Judgment on the award may be entered in any court with jurisdiction.

15.4 No class actions. Each party may bring claims only in its individual capacity, and not as a plaintiff or class member in any class, collective, consolidated or representative proceeding. The arbitrator may not consolidate the claims of more than one party. If this Section 15.4 is found unenforceable for a particular claim, that claim (and only that claim) will be decided in court, not arbitration, and will be stayed until any individual arbitration ends.

15.5 Mass filings. If 25 or more similar demands are filed against us by or with the help of the same law firm or coordinated group, the AAA's then-current supplementary rules for mass or multiple case filings will apply, and the demands may be administered in batches.

15.6 Opt-out. You can opt out of Sections 15.3–15.5 by emailing support@duemeridian.com within 30 days after you first accept these Terms, with your name, your account email and a statement that you opt out of arbitration.

15.7 Courts; jury waiver. Any claim not subject to arbitration will be brought only in the state or federal courts located in New Castle County, Delaware, and each party consents to their jurisdiction. EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL.

Appendix A. Data Processing Terms

A.1 Scope. These terms apply when we process personal information about your clients and other individuals contained in Customer Data ("Client Personal Data") on your behalf. For Client Personal Data, you are the business/controller and we are your service provider/processor.

A.2 Instructions. We process Client Personal Data only to provide the Service under these Terms and your documented instructions (including your settings and use of the Service), and as required by law. We will tell you if we believe an instruction violates applicable privacy law.

A.3 Restrictions. We will not: sell or share Client Personal Data (as those terms are defined in the California Consumer Privacy Act); retain, use or disclose it for any purpose other than providing the Service, including any commercial purpose other than providing the Service; retain, use or disclose it outside our direct business relationship with you; or combine it with personal information we receive from others, except as permitted by applicable law. We may, however, create de-identified or aggregated data as described in Section 6.8 of the Terms, to the extent applicable law permits a service provider or processor to do so. We certify that we understand and will comply with these restrictions.

A.4 Confidentiality and security. We ensure that people authorized to process Client Personal Data are bound by confidentiality, and we maintain reasonable technical and organizational security measures appropriate to the nature of the data, as described in our Privacy Policy.

A.5 Subprocessors. You authorize us to use the subprocessors listed in our Privacy Policy. We will give you notice of any new subprocessor by updating the Privacy Policy and emailing you at least 14 days before the new subprocessor processes Client Personal Data. You may object, and if we cannot reasonably address your objection, you may cancel your subscription. We impose data-protection obligations on subprocessors that are at least as protective as these terms, and we remain responsible for them.

A.6 Assistance. Taking into account the nature of the processing, we will help you respond to requests from individuals exercising their privacy rights and with any data-protection assessments you are required to carry out. If we receive a request directly, we will refer it to you.

A.7 Security incidents. We will notify you without undue delay, and where practical within 72 hours, after confirming a security incident affecting Client Personal Data, and we will provide the information reasonably available to help you meet your own obligations.

A.8 Deletion. When you delete your account, or on termination, we delete Client Personal Data as described in Section 6.5 and the Privacy Policy (including the backup window described there), unless the law requires us to keep it.

A.9 Compliance information. On reasonable request, no more than once a year, we will provide information needed to demonstrate our compliance with these terms. You may take reasonable steps to stop and remediate any unauthorized use of Client Personal Data, and we will tell you if we can no longer meet our obligations under applicable privacy law.

A.10 Order of precedence. If these Data Processing Terms conflict with the rest of the Terms about Client Personal Data, these Data Processing Terms control.
